UCM | Collaboration Charter – Permanent Members

Preamble

This Agreement is established in a spirit of trust, respect, kindness, integrity, and responsibility.

By choosing to collaborate as a permanent member of UCM NPO (“UCM”), as well as with its official branches, whether current or future, established in various countries (including UCM Vietnam, UCM India, and UCM Europe), the permanent member actively contributes to a collective mission dedicated to personal, educational, cultural, and spiritual development, in service of the common good.

This Agreement is intended to define the commitments that help ensure a lasting and harmonious collaboration, respectful of UCM’s mission, its people, and its tangible and intangible assets.

Article 1 – Nature of the Commitment

By joining UCM as a permanent member, collaborator, or volunteer, the individual freely takes part in a collective Mission of personal and spiritual development, in accordance with ethics, integrity, and the common good.
Volunteering remains voluntary and may end at any time, with respect for the individuals involved, ongoing projects, and reasonable notice when circumstances allow.

Article 2 – Contribution to the Mission

Depending on the responsibilities entrusted to them, the permanent member may notably take part in: - the administration of the organization; - team coordination; - the organization of activities; - conferences and training sessions; - publications; - educational, cultural, and community projects; - audio, video, and digital productions; - communications; - the national and international development of UCM; - any other activity related to the organization's mission.

Article 3 – Creations Made in the Course of Duties

Works, documents, training materials, texts, presentations, programs, methods, recordings, digital content, or any other creation produced in the course of the permanent member's duties or at UCM's request are, unless otherwise agreed in writing and signed by UCM and the person(s) concerned, assigned exclusively to UCM. This assignment includes the rights necessary for their use, reproduction, distribution, adaptation, translation, publication, archiving, and exploitation as part of UCM's mission, for all countries and all languages. Creations covered by a specific agreement retain the intellectual property arrangement set out in that agreement. Personal creations made outside the permanent member's duties, without the use of UCM's resources and unrelated to any mandate entrusted by UCM, remain the property of their author.

Article 4 – Protection of UCM's Works

The permanent member acknowledges that all books, teachings, training programs, methods, conferences, programs, educational tools, digital content, audiovisual productions, trademarks, logos, and other works developed by UCM constitute its intellectual heritage. They may not be reproduced, modified, distributed, published, sold, or used outside of UCM without written authorization.

Article 5 – Confidentiality

The permanent member agrees to preserve the confidentiality of all non-public information they become aware of in the course of their duties. This obligation covers, in particular: - personal information; - administrative information; - personal data of students, contacts, participants, or any other person connected with UCM's activities; - financial data; - development strategies; - projects in preparation; - working methods; - internal communications; - any confidential information relating to members, partners, donors, collaborators, or participants. This obligation remains in effect after the end of the collaboration.

Article 6 – UCM's Data and Resources

Databases, contact lists, archives, documents, digital access, platforms, equipment, software, institutional accounts, and any other tangible or intangible asset remain the exclusive property of UCM. The permanent member agrees not to copy, transfer, retain, or use them for personal or external purposes without authorization.

Article 7 – Representing UCM

In carrying out their duties, the permanent member represents UCM to members, the public, partners, and organizations. They agree to conduct themselves at all times in a respectful and professional manner, in keeping with UCM's values, ethics, and mission.

Article 8 – Use of UCM's Resources

The permanent member acts in the interest of UCM. They agree to report any situation likely to create a conflict between their personal interests and those of the organization, and to avoid using their position for personal purposes or in ways contrary to UCM's mission.

Article 9 – Use of Image and Voice

The permanent member authorizes UCM to use their image, voice, and participation in photographs, videos, recordings, and broadcasts produced as part of UCM's activities. This authorization is granted without time limit and solely for the purposes of UCM's activities, promotion, and mission.

Article 10 – End of Collaboration

At the end of their collaboration, the permanent member agrees to return to UCM all documents, files, archives, equipment, keys, IT access, institutional passwords, and other property belonging to the organization. The obligations relating to confidentiality, data protection, respect for works, and intellectual property rights remain applicable after the end of the collaboration.

Article 11 – Acceptance

The permanent member acknowledges having read this agreement in its entirety. They declare that they accept it freely and agree to comply with all of its provisions in the course of their duties within UCM.
